Agreement to Terms

Welcome to Sonic Haven Studios, located in the heart of Austin, Texas! By accessing or using any of our services, including but not limited to audio recording, mixing, mastering, podcast production, voiceover recording, and sound design (collectively, the "Services"), you (the "Client") agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you and Sonic Haven Studios ("we," "us," or "our"). If you do not agree with any part of these Terms, you are prohibited from using our Services. These terms are effective as of January 1, 2025.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.

Use of Services

Eligibility: You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

Service Description: Sonic Haven Studios provides professional audio recording, mixing, mastering, and related services as described on our website and in our service agreements. Specific details about each Service, including pricing and deliverables, will be outlined in a separate service agreement provided before commencement of any work.

Bookings and Scheduling: All bookings are subject to availability. We recommend booking in advance to secure your preferred dates and times. A deposit may be required to confirm your booking, as specified in the service agreement. We reserve the right to cancel or reschedule bookings due to unforeseen circumstances, such as equipment malfunction or studio maintenance. In such cases, we will provide reasonable notice and offer alternative dates or a refund of any deposit paid.

Client Responsibilities: You are responsible for providing all necessary materials for your project, including but not limited to audio tracks, lyrics, musical scores, and any other relevant content. You warrant that you have all necessary rights and permissions to use such materials and that they do not infringe upon the intellectual property rights of any third party. You are also responsible for arriving on time for scheduled sessions and for conducting yourself in a professional and respectful manner while on our premises. Any damage to our equipment or studio facilities caused by you or your guests will be your responsibility, and you will be liable for the cost of repair or replacement.

Payment Terms: Payment for Services is due as specified in the service agreement. We accept various forms of payment, including cash, credit cards, and electronic transfers. Late payments may be subject to interest charges and suspension of Services. We reserve the right to withhold deliverables until full payment has been received. All prices quoted are exclusive of any applicable taxes, which will be added to the invoice.

Intellectual Property

Ownership: Unless otherwise agreed in writing, you retain all rights to your original audio recordings and related content. However, Sonic Haven Studios retains ownership of all recordings, mixes, masters, and other deliverables created during the provision of our Services until full payment has been received. Upon receipt of full payment, ownership of the final deliverables will be transferred to you, subject to any limitations or restrictions outlined in the service agreement.

License: By using our Services, you grant Sonic Haven Studios a non-exclusive, royalty-free license to use your audio recordings and related content for promotional purposes, including but not limited to showcasing our work on our website, social media channels, and marketing materials. You may revoke this license at any time by providing written notice to us.

Third-Party Content: You warrant that any third-party content you provide to us for use in your project does not infringe upon the intellectual property rights of any third party. You agree to indemnify and hold Sonic Haven Studios harmless from any claims, damages, or liabilities arising from the use of such third-party content.

Limitation of Liability

To the fullest extent permitted by law, Sonic Haven Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our Services, including but not limited to loss of profits, loss of data, or interruption of business, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or in connection with these Terms or our Services shall not exceed the amount you paid to us for the Services in question.

We are not responsible for any loss or damage to your personal belongings while on our premises. We recommend that you keep your valuables with you at all times. We are not responsible for any delays or failures in providing our Services due to events beyond our reasonable control, such as acts of God, natural disasters, or equipment malfunction.

This limitation of liability shall apply regardless of the form of action, whether in contract, tort, or otherwise.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms or our Services shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the exclusive jurisdiction of such courts.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The failure of Sonic Haven Studios to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms constitute the entire agreement between you and Sonic Haven Studios with respect to your use of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
